The terms that govern the crosscheck website, your account, and your subscription. Your license to run the software itself lives in the EULA.
These Terms of Service (these "Terms") govern your access to and use of the website at crosscheckagent.com, the Crosscheck (XC) subscription service, and your Crosscheck (XC) account. They form a legal agreement between Vardr Partners, LLC, a South Carolina limited liability company ("Vardr", "we", or "us"), and you ("you" or the "Customer"). Your license to install and run the Crosscheck (XC) software itself is governed separately by the End User License Agreement (the "EULA"); these Terms cover the website, the account, and the subscription service, and they incorporate the EULA by reference. Where these Terms and the EULA conflict on a subject the EULA addresses (such as the software license grant or software warranties), the EULA controls.
By creating an account, purchasing a subscription, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not access or use the Service.
"Crosscheck (XC)" or the "Service" is Vardr's subscription software product for orchestrating third-party large language models from within your own development environment. Crosscheck (XC) ships as two clients: (a) an MCP server / command-line interface used inside Claude Code and VS Code, and (b) a Google Chrome browser extension distributed through the Chrome Web Store. A single subscription seat covers both clients. The Service also includes the account dashboard, activation and billing components, and content-free usage telemetry, all described further below and in the EULA.
You create an account by signing in through our OAuth sign-in provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use. You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to form a binding contract to use the Service. The Service is intended for professional and commercial use and is not directed to children.
The Service is offered on a monthly per-seat subscription basis at $20 per seat per month, billed in advance through Stripe. By subscribing, you authorize recurring charges to your payment method. Your subscription renews automatically at the end of each billing period until you cancel. You may cancel at any time through the self-service Stripe billing portal; cancellation takes effect at the end of the then-current billing period. Except where required by law, fees are non-refundable and no pro-rata refunds are issued for partial periods. Each seat activates one machine at a time, and re-activation of a seat on a replacement machine is limited to once per 30 days, consistent with the EULA. Pricing may change on no less than thirty (30) days' notice, effective at the start of your next billing period.
Crosscheck (XC) operates on a bring-your-own-keys ("BYOK") model. You supply your own API keys for third-party large language model providers (Anthropic, OpenAI, Google, xAI, and others) (the "Upstream Providers"). Your keys are stored locally on your machine or in your browser (the extension encrypts them at rest using AES-GCM). Vardr never receives, transmits, stores, or logs your API keys. Model calls travel directly from your machine or browser to the Upstream Providers using your keys; Vardr does not transmit, store, log, or process the content of your prompts or model responses.
Your relationship with each Upstream Provider is your own and is governed by that provider's terms. Vardr is not a party to those relationships. You are solely responsible for complying with each Upstream Provider's terms of service and acceptable use policy, and for all charges incurred against your own keys. Your use of Stripe and of the OAuth sign-in provider is likewise subject to their respective terms. Because the Chrome extension is distributed through the Chrome Web Store, your installation and use of it may also be subject to Google's applicable terms.
You agree to use the Service only for lawful purposes and in compliance with these Terms, the EULA, and all applicable laws. You will not: (a) use the Service in violation of any Upstream Provider's terms or acceptable use policy; (b) attempt to circumvent the seat activation, fingerprinting, telemetry, or revocation mechanisms; (c) access the Service through any means other than the interfaces we provide, or interfere with or disrupt the Service or its infrastructure; (d) share, resell, or transfer your seat except as permitted; (e) reverse engineer, decompile, or attempt to derive source code except as expressly allowed by the EULA or applicable law; or (f) use the Service to build or assist a competing product.
Crosscheck (XC), the crosscheckagent.com website, and all associated software, trademarks, logos, and content are owned by Vardr or its licensors and are protected by intellectual property laws. These Terms and the EULA grant you a limited right to use the Service; they do not transfer any ownership to you. You retain all rights in your prompts, data, and model outputs, which never pass through Vardr's servers.
THE SERVICE AND THE WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. VARDR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL REDUCE YOUR TOKEN CONSUMPTION, IMPROVE THE QUALITY OF MODEL OUTPUTS, OR ACCELERATE ANY TASK. Vardr is not responsible for the availability, accuracy, or conduct of any Upstream Provider or other third-party service. Additional software warranty disclaimers appear in the EULA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VARDR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUES, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VARDR'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID VARDR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (ii) ONE HUNDRED U.S. DOLLARS ($100). Vardr has no liability for charges incurred against your own API keys or for the acts or omissions of any Upstream Provider. These limitations apply regardless of the form of action and even if any limited remedy fails of its essential purpose.
You will defend, indemnify, and hold harmless Vardr, its members, officers, employees, contractors, and licensors from and against any third-party claim arising from (a) your prompts, data, or model outputs; (b) your violation of any Upstream Provider's terms of service; (c) your violation of any applicable law; or (d) your breach of these Terms, and will pay any damages finally awarded (or amounts in a settlement you approve) for any such claim. This obligation supplements, and does not limit, the indemnification provisions of the EULA.
You may stop using the Service and cancel your subscription at any time through the Stripe billing portal. We may suspend or terminate your access to the Service if you breach these Terms or the EULA, if required by law, or if your subscription lapses for non-payment. Upon termination, your right to access the Service ceases; Sections 5, 7, 8, 9, 10, and 13 survive. Termination of the EULA also terminates your right to use the Service.
We may update these Terms from time to time. When we make material changes, we will post the updated Terms at crosscheckagent.com and update the effective date above, and where appropriate we will notify you by email or in-product notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Charleston County, South Carolina for any dispute arising out of or relating to these Terms or the Service, consistent with the governing-law, venue, jury-waiver, and class-action-waiver provisions of the EULA.
